Terms of Service

By installing, accessing or using the App, you confirm that you have read and accept these Terms. If you do not agree, do not install or use the App.

We may update these Terms from time to time. We will post the new version on this page and change the date at the top. Material changes will be announced in the App or by email at least 30 days before they take effect. Continuing to use the App after that date means you accept the updated Terms.

Giftora helps Shopify merchants sell digital gift cards. The App lets you:

• Add a gift card buy box to your product page as a theme app embed, with several layouts and card designs.
• Let shoppers send a card as a gift with a recipient, sender name and personal message, or buy it for themselves.
• Schedule delivery for a chosen date, or send right away.
• Issue native Shopify gift cards for paid orders through the Shopify Admin API.
• Deliver gift cards by email and through a redeem page, using your logo, brand color and chosen email template.
• Hold orders for your review when they are flagged as risky, come from POS or drafts, or need attention after a refund or cancellation.

Features may change as we improve the App. We will not remove core functionality you rely on without reasonable notice.

• You must have an active Shopify store in good standing and comply with Shopify's terms.
• You must have the authority to accept these Terms on behalf of the store owner.
• You are responsible for keeping access to your Shopify admin secure and for all activity that happens in the App under your store.
• You must give accurate store information and keep your gift card settings, such as delivery trigger and sender details, up to date.

Giftora is free to use during early access. We will not charge you without your approval.

• If we introduce paid plans, we will announce them at least 30 days in advance and show the price in the App.
• Paid plans will be billed through Shopify and appear on your Shopify invoice. A charge only starts after you approve it in your Shopify admin.
• You can cancel at any time by uninstalling the App. Refunds for paid plans follow Shopify's billing rules and are handled case by case.
• Gift card sales are paid by your customers to your store through Shopify checkout. Nexlo never receives or holds those funds.

You are the seller of every gift card sold through the App. Giftora only issues and delivers cards on your behalf.

• You are responsible for complying with gift card, consumer protection, tax and unclaimed property laws that apply to your store, including any rules on expiry dates and refunds.
• You decide your own refund and cancellation policy and must honor valid gift cards at checkout.
• You must only send gift card emails to recipients that your shoppers chose, and you must not use the App to send marketing email.
• Gift card balances and redemption are managed by Shopify. Cards that have been issued stay in your Shopify admin even if you uninstall the App.
• When the App is uninstalled, scheduled and pending emails stop. We do not resend them automatically if you reinstall.

You agree not to use the App to:

• Sell, issue or distribute gift cards for fraud, money laundering or any illegal purpose.
• Send spam, phishing or misleading messages through gift card emails.
• Upload content, logos or messages that infringe someone else's rights or are unlawful, hateful or abusive.
• Interfere with, overload or try to gain unauthorized access to the App, its servers or other merchants' data.
• Copy, reverse engineer, resell or sublicense the App.

We may suspend email delivery or access to the App if we reasonably believe it is being used in breach of this section.

Nexlo owns the App, its code, designs, card artwork and email templates. We grant you a limited, non-exclusive, non-transferable license to use the App for your store while these Terms are in effect.

You keep ownership of your store data, logo, brand assets and the content you add. You grant us a limited license to use that content only to provide the App, for example to render your buy box, emails and redeem page.

To run the App we process store information, order details, and the names, email addresses and messages that shoppers enter for gift card recipients. We act as a data processor for your customer data.

• Gift card codes are stored encrypted.
• We use trusted service providers to host the App and send email, under data protection terms.
• We respond to Shopify's customer data request and erasure webhooks.

Our Privacy Policy explains in detail what we collect, why, and how you can exercise your rights.

You can stop using the App at any time by uninstalling it from your Shopify admin.

We may suspend or end your access if you breach these Terms, if your Shopify store is suspended, if required by law, or if we discontinue the App. When possible we will give you notice first.

Sections that by their nature should continue after termination, such as Intellectual Property, Disclaimers, Limitation of Liability and Indemnification, will survive.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not guarantee that the App will be uninterrupted or error-free, that every email will reach the recipient's inbox, or that the App will work with every theme or third-party app. Email delivery depends on third-party providers and recipient mail servers.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXLO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE APP IS LIMITED TO THE AMOUNT YOU PAID US FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM.

You agree to defend and indemnify Nexlo against claims, losses and costs arising from your use of the App, your breach of these Terms, the gift cards you sell, content you provide, or disputes with your customers and gift card recipients.

These Terms are governed by the laws of Vietnam. If a dispute arises, we will first try to resolve it in good faith by contacting each other. If that does not work within 30 days, either party may seek mediation, and after that bring the dispute before the competent courts of Vietnam.

• These Terms, together with our Privacy Policy, are the entire agreement between you and Nexlo about the App.
• If any part of these Terms is found unenforceable, the rest stays in effect.
• Not enforcing a right is not a waiver of that right.
• You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
• Neither party is responsible for delays caused by events outside its reasonable control.
